Agreement to Terms

By accessing or using any Fiat Labs property, including but not limited to our website at fiatlabs.dev (the “Site”), the Fiat Money application (the “App”), our API services, or any other services, applications, websites, or offerings we provide (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use our Services.

Use License

Permission is granted to access and use our Services and any Fiat Labs property for personal, non-commercial purposes only, subject to these Terms. This is the grant of a license, not a transfer of title, and under this license you may not:

  • Modify, copy, or create derivative works of our Services, any Fiat Labs property, or any materials contained therein
  • Use the Services, any Fiat Labs property, or materials for any commercial purpose or for any public display (commercial or non-commercial) without our prior written consent
  • Attempt to reverse engineer, decompile, or disassemble any software, application, or API provided by Fiat Labs or used in any Fiat Labs property
  • Remove any copyright, trademark, or other proprietary notations from the materials
  • Transfer, sublicense, or assign your rights to use the Services or any Fiat Labs property to another person
  • “Mirror” or replicate any portion of our Services or any Fiat Labs property on any other server or platform
  • Use automated systems (bots, scrapers, etc.) to access our Services or any Fiat Labs property without authorization
  • Interfere with or disrupt the integrity or performance of our Services or any Fiat Labs property

This license shall automatically terminate if you violate any of these restrictions and may be terminated by Fiat Labs at any time.

Intellectual Property Rights

All Fiat Labs properties, including our Services, the Site, App, API services, and all original content, features, functionality, trademarks, service marks, logos, and other proprietary materials, are owned by Fiat Labs and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not use our trademarks, service marks, logos, or any other proprietary materials from any Fiat Labs property without our prior written consent. All rights not expressly granted to you in these Terms are reserved by Fiat Labs.

User Accounts

If you create an account to use our Services, you are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account, including any financial transactions or data access
  • Ensuring the accuracy of information you provide to us
  • Notifying us immediately of any unauthorized use of your account or any other breach of security
  • Complying with all applicable laws and regulations when using our Services

You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account and use our Services. By creating an account, you represent and warrant that you meet this age requirement.

We reserve the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or for any other reason we deem necessary to protect our Services and users.

User Content and Financial Data

You retain ownership of any content you submit, post, or display on or through our Services or any Fiat Labs property (“User Content”), including any financial data, transactions, or information you provide or that is collected through your use of our Services or any Fiat Labs property.

By using our Services or any Fiat Labs property, you grant Fiat Labs a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, process, store, reproduce, modify, adapt, and display such User Content and financial data as necessary to provide, maintain, and improve our Services and any Fiat Labs property, generate insights, and comply with legal obligations.

You represent and warrant that:

  • You own or have the necessary rights to the User Content and financial data you provide
  • The User Content does not violate any third-party rights
  • The User Content is not illegal, offensive, or harmful
  • You have the authority to link any financial accounts and authorize us to access transaction data on your behalf

Prohibited Uses

You agree not to use our Services or any Fiat Labs property:

  • In any way that violates any applicable federal, state, local, or international law or regulation
  • To transmit, or procure the sending of, any advertising or promotional material without our prior written consent
  • To impersonate or attempt to impersonate Fiat Labs, a Fiat Labs employee, another user, or any other person or entity
  • In any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful
  • To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of our Services or any Fiat Labs property
  • To attempt to gain unauthorized access to our Services, any Fiat Labs property, user accounts, computer systems, or networks
  • To use our Services or any Fiat Labs property for any illegal financial activities, money laundering, or fraud
  • To interfere with or disrupt the security, integrity, or performance of our Services or any Fiat Labs property
  • To use automated systems to access our Services or any Fiat Labs property in a manner that sends more request messages than a human could reasonably produce

Disclaimer

OUR SERVICES AND ANY FIAT LABS PROPERTY ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, FIAT LABS:

  • EXCLUDES ALL REPRESENTATIONS, WARRANTIES, CONDITIONS, AND TERMS RELATING TO OUR SERVICES, ANY FIAT LABS PROPERTY, AND THE USE OF OUR SERVICES OR ANY FIAT LABS PROPERTY (INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES IMPLIED BY LAW)
  • MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE ACCURACY, RELIABILITY, OR SUITABILITY OF THE INFORMATION, DATA, OR INSIGHTS PROVIDED THROUGH OUR SERVICES OR ANY FIAT LABS PROPERTY
  • DOES NOT WARRANT THAT OUR SERVICES OR ANY FIAT LABS PROPERTY WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS
  • DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY FINANCIAL INFORMATION, INSIGHTS, OR RECOMMENDATIONS PROVIDED
  • DOES NOT PROVIDE FINANCIAL, INVESTMENT, TAX, OR LEGAL ADVICE

Our Services and any Fiat Labs property are tools to help you manage your finances, but you are solely responsible for your financial decisions and should consult with qualified professionals for financial, investment, tax, or legal advice.

Limitation of Liability

IN NO EVENT SHALL FIAT LABS, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, FINANCIAL LOSSES, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • YOUR USE OR INABILITY TO USE OUR SERVICES OR ANY FIAT LABS PROPERTY
  • ANY CONDUCT OR CONTENT OF THIRD PARTIES ON OR THROUGH OUR SERVICES OR ANY FIAT LABS PROPERTY
  • ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY PERSONAL OR FINANCIAL INFORMATION STORED THEREIN
  • ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM OUR SERVICES OR ANY FIAT LABS PROPERTY
  • ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH OUR SERVICES OR ANY FIAT LABS PROPERTY
  • ANY ERRORS OR OMISSIONS IN THE CONTENT, DATA, OR FUNCTIONALITY OF OUR SERVICES OR ANY FIAT LABS PROPERTY
  • ANY DECISIONS MADE BASED ON INFORMATION, INSIGHTS, OR RECOMMENDATIONS PROVIDED THROUGH OUR SERVICES OR ANY FIAT LABS PROPERTY
  • ANY LOSS OR DAMAGE RESULTING FROM YOUR RELIANCE ON OUR SERVICES OR ANY FIAT LABS PROPERTY FOR FINANCIAL DECISIONS

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE USE OF OUR SERVICES OR ANY FIAT LABS PROPERTY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY.

Indemnification

You agree to defend, indemnify, and hold harmless Fiat Labs and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney’s fees) arising from:

  • Your use of and access to our Services or any Fiat Labs property
  • Your violation of any term of these Terms
  • Your violation of any third-party right, including without limitation any copyright, property, or privacy right
  • Any financial decisions or actions you take based on information or insights provided through our Services or any Fiat Labs property

Any Fiat Labs property may contain links to third-party websites or services that are not owned or controlled by Fiat Labs, including financial institutions and data providers. Additionally, our Services and other Fiat Labs properties may integrate with third-party services, such as financial data aggregators (e.g., Plaid), to provide functionality.

Fiat Labs has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. When you link your financial accounts or use third-party integrations through any Fiat Labs property, you are also subject to the terms and privacy policies of those third-party providers.

You acknowledge and agree that Fiat Labs shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services, including any issues arising from third-party financial data providers.

Termination

We may terminate or suspend your access to our Services or any Fiat Labs property immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use our Services and any Fiat Labs property will cease immediately.

Governing Law

These Terms shall be interpreted and governed by the laws of the United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Dispute Resolution

Any disputes arising out of or relating to these Terms or our Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that you may assert claims in small claims court if your claims qualify.

Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect. We may provide notice through our Services, by email, or by other means.

What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services or any Fiat Labs property after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the revised terms, you must stop using our Services and any Fiat Labs property and may terminate your account.

Effective Date

These Terms of Service are effective as of November 30, 2025, and will remain in effect except with respect to any changes in their provisions in the future, which will be in effect immediately after being posted on this page.
